Terms & Conditions
Last updated: November 2026
These Terms of Service (“Terms”) govern your access to and use of the services provided by Ombu [TO BE DEFINED — legal entity name] (“Ombu”, “we”, “us”, or “our”), including our platform, API, dashboard and any related services (collectively, the “Services”).
By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use our Services.
1. About Ombu
Ombu provides cross-border payment infrastructure, including multi-currency accounts, payment collection (pay-in), payment disbursement (pay-out), foreign exchange, compliance screening and a white-label operational dashboard for licensed financial institutions, fintechs and regulated businesses.
Ombu is a registered Money Service Business (MSB). Ombu is not a bank. Banking services, fund custody and settlement are provided through our regulated banking and financial partners in each jurisdiction. Funds are held in segregated accounts at regulated financial institutions.
2. Eligibility
Our Services are available to registered businesses that have successfully completed our onboarding process, including know-your-business (KYB) and know-your-customer (KYC) verification. We do not offer services to individuals for personal, family or household use. By using our Services, you represent that you are authorised to act on behalf of the business entity you represent.
3. Account registration and security
You must provide accurate, current and complete information during onboarding and keep your account information up to date. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify Ombu immediately of any unauthorised use of your account.
4. Services and transactions
Ombu facilitates cross-border payments through local payment rails in each jurisdiction. Transaction times, availability and settlement depend on the receiving bank, local payment infrastructure and applicable regulatory requirements. Quoted timelines are typical estimates, not guarantees.
You acknowledge that international payments are subject to compliance screening and may be delayed or declined if they do not meet applicable regulatory requirements.
5. Fees and pricing
Fees are set out in your service agreement and may include transaction fees, FX spreads, account maintenance fees and corridor-specific charges. All applicable fees are disclosed before you confirm a transaction. Ombu reserves the right to update its fee schedule with reasonable notice.
6. Compliance and prohibited use
You agree to use our Services only for lawful purposes and in compliance with all applicable laws, regulations and sanctions programmes. You shall not use our Services for money laundering, terrorist financing, fraud, tax evasion, sanctions violations or any other unlawful activity. Ombu reserves the right to suspend or terminate your account immediately if we suspect any prohibited use.
7. Intellectual property
All intellectual property rights in the Services, including software, design, trademarks and documentation, are owned by Ombu or its licensors. Your use of the Services does not grant you any ownership rights. You may not copy, modify, distribute or create derivative works based on our Services without our prior written consent.
8. Limitation of liability
To the fullest extent permitted by applicable law, Ombu shall not be liable for any indirect, incidental, special, consequential or punitive damages arising from or related to your use of our Services, including but not limited to delays caused by banking partners, local payment systems, correspondent banks or regulatory requirements.
Ombu’s total aggregate liability under these Terms shall not exceed the fees paid by you to Ombu in the twelve (12) months preceding the event giving rise to the claim.
9. Indemnification
You agree to indemnify, defend and hold harmless Ombu and its officers, directors, employees, agents and partners from and against any claims, liabilities, damages, losses and expenses arising from your use of the Services, your violation of these Terms, or your violation of any applicable law or regulation.
10. Termination
Either party may terminate the service relationship by providing written notice as set out in the service agreement. Ombu may suspend or terminate your access to the Services immediately if we reasonably believe you have violated these Terms, applicable law or pose a risk to our operations or partners. Upon termination, any pending transactions will be completed or returned in accordance with applicable regulations.
11. Modifications
We may update these Terms from time to time. We will notify you of material changes at least thirty (30) days before they take effect. Your continued use of the Services after the effective date of any changes constitutes your acceptance of the updated Terms.
12. Governing law and disputes
These Terms shall be governed by and construed in accordance with the laws of [TO BE DEFINED — jurisdiction]. Any disputes arising out of or relating to these Terms shall be resolved through [TO BE DEFINED — arbitration or courts, jurisdiction].
